Terms and Conditions of Use

By using the Preppable platform, you agree to the practices described in these Terms.

These Terms and Conditions of Use ("Terms") are a binding agreement between you ("you" or "Participant") and Preppable, Inc., a Washington corporation ("Preppable", "we", "our", or "us").

1. Use of the Platform

Preppable grants you a limited, revocable, non-exclusive, non-transferable license to access and use the platform during your active subscription period or payment term.

Access may be revoked, suspended, or modified at any time at Preppable’s sole discretion if these Terms are violated.

2. Payment and Subscription Terms

  • Access to certain features of the platform requires a paid subscription or one-time purchase.
  • All fees are are non-refundable except as required by law.
  • You authorize Preppable (and its payment processors) to charge your selected payment method.
  • You may cancel at any time; cancellation will take effect at the end of your current billing period.
  • Preppable reserves the right to modify pricing, subscription tiers, or features with reasonable notice. Continued use of the platform after such changes constitutes acceptance of the new terms.
  • If you believe you have been billed in error, contact billing@preppable.com within 14 days of the charge. Refunds are provided only where required by law or at Preppable’s sole discretion.

3. Eligibility

By using the platform, you represent that you have the legal capacity to enter into this agreement.
There is no minimum age requirement, but the platform is intended for use by individuals in a professional or pre-professional context.

4. Restrictions on Use

You agree not to:

  • Reverse engineer, copy, modify, or distribute any part of the platform;
  • Use the platform for any commercial or competitive purposes without written consent;
  • Interfere with, attempt to gain unauthorized access to, or disrupt any part of the platform;
  • Violate any applicable laws or third-party rights in connection with your use.

5. Account and Security

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
You agree to notify Preppable immediately if you suspect any unauthorized access or use of your account.

6. Ownership and User Content

All content, software, features, and intellectual property within the platform are owned by or licensed to Preppable and protected by applicable laws.

If the platform allows you to submit code, text, or other materials ("User Content"), you retain ownership of that content.
However, you grant Preppable a perpetual, worldwide, royalty-free, non-exclusive license to use, analyze, and store your User Content solely for the purposes of:

  • Improving the platform and its features;
  • Aggregating and analyzing data in anonymized form;
  • Ensuring system functionality and integrity.

Preppable will not publish or display your code or submissions without your explicit consent.

Except for your User Content, all other rights, title, and interest in the platform, including all Preppable materials, remain the property of Preppable. You may not reproduce, resell, or redistribute platform materials without prior written authorization.

7. Feedback

Any feedback, suggestions, or comments you provide may be used by Preppable without restriction or compensation.
Feedback may be used internally to improve the platform or externally (e.g., as testimonials), in which case it will be anonymized unless otherwise agreed.

8. Data Collection and Privacy

Preppable collects limited user and analytics data to operate and improve the platform. This may include:

  • System usage patterns and interaction data;
  • Technical performance metrics;
  • Account and billing information necessary for paid services.

Personally identifiable information (PII) is collected only as needed for authentication, billing, or communication purposes.
Payment details are processed securely by third-party processors (e.g., Stripe) and are not stored by Preppable.

A separate Privacy Policy, when available, is incorporated by reference into these Terms.

9. Beta Features and Service Availability

From time to time, Preppable may offer experimental or “beta” features. These are provided “as-is” and may be modified or discontinued at any time.
Preppable does not guarantee uninterrupted service and may schedule maintenance or updates as needed.

10. Disclaimers

The platform is provided on an “as is” and “as available” basis, without warranties of any kind.
Preppable disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We reserve the right to modify or discontinue any part of the platform at any time.

11. Limitation of Liability

To the maximum extent permitted by law, Preppable shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the platform, even if advised of the possibility of such damages.

Preppable’s total cumulative liability under these Terms shall not exceed the total amount paid by you to Preppable in the six (6) months preceding the claim.

12. Termination

Preppable may suspend or terminate your access at any time, with or without cause.
Termination does not entitle you to a refund of any prepaid fees.
Upon termination, you must cease all use of the platform.
Preppable may retain anonymized usage data for analytics or compliance purposes in accordance with its Privacy Policy.

13. Changes to These Terms

We may update these Terms periodically.
If we make material changes, we will notify you via email or through the platform.
Continued use of the platform after notice of such changes constitutes acceptance of the updated Terms.

14. Third-Party Services

The platform may integrate with or depend on third-party services, APIs, or libraries (e.g., hosting, authentication, AI systems).
Your use of those components is subject to their respective terms and privacy policies.

15. Artificial Intelligence Features

The platform utilizes artificial intelligence ("AI") technologies to provide certain features and functionality. You acknowledge and agree that:

  • AI-Generated Content May Be Inaccurate: AI systems may produce errors, inaccuracies, or "hallucinations" (fabricated or incorrect information presented as fact). AI-generated content is not guaranteed to be accurate, complete, reliable, or current.

  • No Warranty on AI Output: Preppable makes no representations or warranties regarding the accuracy, reliability, or suitability of any AI-generated content, responses, or recommendations. You should independently verify any information provided by AI features before relying on it.

  • Use at Your Own Risk: You use AI features at your own risk and are solely responsible for evaluating, verifying, and validating any AI-generated content before using it for any purpose, including professional, educational, or personal use.

  • AI Limitations: AI systems have inherent limitations and may not understand context, make errors in reasoning, produce biased or inappropriate content, or fail to provide accurate information. Preppable does not guarantee that AI features will meet your specific needs or expectations.

  • No Liability for AI Errors: Preppable shall not be liable for any damages, losses, or consequences arising from your reliance on AI-generated content, including but not limited to errors, omissions, inaccuracies, or hallucinations produced by AI systems.

  • AI Features Subject to Change: Preppable reserves the right to modify, suspend, or discontinue AI features at any time without notice. AI models, algorithms, and capabilities may be updated, changed, or replaced without prior notification.

16. Legal Compliance and Export Control

You agree to comply with all applicable laws and regulations, including U.S. export control and sanctions laws.
You may not use the platform in jurisdictions where its use is prohibited or restricted by law.

17. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in King County, Washington, and you consent to their jurisdiction.

18. Survival

Sections 3, 4, 6, 7, 8, 9, 10, 11, 12, 15, 16, 17, and this Section 18 shall survive termination or expiration of these Terms, as well as any obligations under a separate NDA.
